On 10 December 2024, a call option for 613,152 shares in ULTIMA CAPITAL SA was exercised by Alpine Holding Kft., which results, based on the relevant agreements, in 4 remaining call and put options for an aggregate of 1,724,917 shares, corresponding to 12.02% of the capital and voting rights in Ultima Capital SA. The call options are exercisable by Alpine Holding Kft. until 10 December 2025, each at a price of CHF 84.00 or, after 10 June 2025, CHF 86.50 per share. The put options are exercisable against Alpine Holding Kft. for an exercise price of CHF 105.00 and during the period of two months after the expiration of the call options, if such call options had not been exercised. Each put and call option is only alternatively exercisable and requires the delivery of the shares.
